Statement of Work (SOW) 

All of our Client Contract Engagements will be based on agreed Statement of Work (SOW), including scope, approach, deliverables, milestones, resources, scheduled effort, timeframe, cost, any travel expectations, base location or remote, fixed rate or times & materials, and payment terms. 

Master Services Agreement (MSA)

Harp Strategy can provide our Clients with a Master Services Agreement (MSA), to make things easier when you wish to engage us for Consulting.

We welcome the opportunity to build a an ongoing working relationship, and to partner with you to achieve your goals.  

SOW Amendments

Sometimes during a Client engagement, additional information may come to light, during the early discovery phase or potentially anytime during the Client engagement.

 

If this results in a shift or change of direction to the previously agreed SOW, Harp will work closely with the Client to collectively agree on any changes to scope, approach, deliverables, milestones, cost, resources, and schedule.

We will produce an amendment to the SOW, to be approved by the Client Sponsor and Harp Strategy (Salt Eagle Pty Ltd) Director or their nominated authorised parties. 

Standard Terms & Conditions

  1. ​We will invoice on a monthly basis.

  2. Payment terms are 14 days.

  3. Out-of-pocket expenses will be subject to prior approval and charged at cost.

  4. Harp Strategy is responsible for all Workers Compensation Insurance, Professional Indemnity Insurance, Public Liability Insurance, Income Tax and Superannuation for our employees and sub-contractors. Other Government charges, taxes, duties and imposts are added to the Invoice.

  5. Harp Strategy shall keep Confidential any information provided by the Client in respect of the engagement and shall not use such information other than in connection with the provision of it’s Services to the Client concerning the engagement.

  6. Any changes in scope will be highlighted immediately, so the allocated budget and timeline can be adjusted.

  7. Any expected requirements for travel will be agreed with the Client during scoping activities and charged to an agreed financial cap as part of the contractural Statement of Work (SOW).

Contact Extensions 

Contract extensions are always welcome.

We value repeat business and the opportunity to build an ongoing relationship with our Clients so we can continue to support and position you for success. 

​

During a SOW engagement, both Harp Strategy, the Consultant and the Client may identify additional work or ongoing work that is expected to exceed the terms of the current SOW. 

​

This is very common, and the majority of our Client engagements typically include one or several contract extensions. 

​

Harp Strategy will liaise with the Client to understand the business requirements for a subsequent SOW, so we can prepare this for you. â€‹

Location

We service all of Australia, across all major cities, with plans to expand internationally in the future. 

​

Harp Strategy is based in Sydney, Australia, however a lot of our Clients are based interstate.

​

Our Consultants predominately work remotely, very successfully. If travel costs are agreed as part of the Statement of Work (SOW), we will cater for this and will agree the most appropriate time for travel. 

​

This may include being onsite for introductions, discovery interviews, stakeholder workshops, presentations, and during hand-over.

 

However, our Consultants can also work just as effectively, on a remote arrangement. 

​

If your assigned Consultant is based in the same state and city, they may liaise directly with the Client to agree on onsite visit expectations. 

​

If the Client prefers a Consultant to spend more time onsite, as part of the engagement either as a planned hybrid arrangement or ad-hoc, we kindly ask that this is communicated to us during pre-sales so we have an opportunity to match you with a Consultant who is already based in your city. ​​

Consulting Rates

Based on the nature of the Statement of Work (SOW) and the expertise you require to fulfill, we will provide a Statement of Work Proposal and Quotation, based on our standard competitive daily rates + GST, for the resources you require. â€‹â€‹

Client Resources

Harp Consultants are professionals with high expertise in their field.

They are self-sufficient and self-managed, with the support of Harp Strategy. 

​

Our Consultants will typically have their own laptops, software, mobile devices and stationery, therefore the Client is not expected to provide this. 

​

However, if there is a security requirement or an option for the Consultant during the SOW period to be given access to a Client laptop asset, this is fine. 

​

Other Client resources the Harp Consultants will require, includes onsite building security access, hot desks, access to the Client network, access to the Client's MS Outlook, MS Teams, MS SharePoint and access to book onsite meeting rooms etc. ​​​​

Collaboration Software

On occasion Harp Consultants may choose to use collaborative software, such as MIRO Board to facilitate workshops, and perform discovery sessions etc. 

​

We are happy to utilise internal Client collaborative products or services when available, or alternatively we can provide temporary Client access to Harp Strategy's MIRO Board, once the Client is satisfied with any security requirements. 

Status Updates

Each Consultant assigned to fulfil a Client Statement of Work (SOW), will provide a weekly status update based on the agreed SOW schedule, milestones and deliverables. 

​

This will be provided by COB each Thursday. 

​

Our status update template is simple as we don't believe in overloading our Consultants with unnecessary admin paperwork, but instead prefer that they are focused on delivering outcomes to our Clients. 

​

Please advise of any additional project administration or project management requirements if there is an expectation that Harp Strategy are required to interface with your internal practices, and we will make arrangements to provide this. 

SOW Deliverables Hand-over 

Harp Strategy pride ourselves on the quality of our hand-overs to our Clients, on successful completion of the SOW.

 

This includes a final status report, finalised project plan, hand-over artefact register, and a high-level SOW closure report, to include any closing recommendations for the Client, and a brief recommended Implementation Plan, if the Consultant is handing over capability to the Client to manage the implementation themselves. â€‹

Our Consultants will also schedule a hand-over meeting with the Client, to close out the SOW, and when possible the nominated Harp Strategy Account Manager will also attend. 

Consultants

We source highly specialised and experienced Independent Consultants, Practitioners, Leaders and Business Analysts to match the business requirements detailed within the agreed Statement of Work.

We have ongoing relationships with Harp resources who perform project work on a sub-contract basis to Harp Strategy (Salt Eagle Pty Ltd). 

​

If you are interested in sub-contracting with Harp Strategy, we would love to hear from you, as we are always networking to discover like-minded professionals for our Client engagements. 

Outcome-Driven Approach 

Harp Strategy uses an outcome-driven approach. 

​

Our Consultants are very experienced and understand what it takes to deliver on a SOW, and we support each of our Consultants to work in a way that allows them to be their most productive to deliver a high quality outcome. 

​

We are advocates for healthy work-life balance, and we understand everyone is different and has their own preferred working style. 

​

This may vary per Consultant, some prefer to work from home (WFH), others are more focused in an office environment. Some need the flexibility to pick up the kids from school, some like to hit the gym in their lunch break. And others may choose to do after hours work (on their terms), to meet a deadline, if they had to take off early one day during the week for a personal appointment. 

 

This all evens out nicely, is respectful and empowering.  

​

We do not believe in traditional hierarchical methods of management, nor micro-management, but instead subscribe to a positive outcome-driven environment and leadership management approach. 

​

We are all adults and as long as we deliver to a high-standard on the SOW deliverables, we are confident and happy that our Consultants are healthier, happier, and genuinely committed to Client success. 

Grievances

If a grievance situation arises, Harp Strategy wish to collaborate to address this with the Consultant and the Client immediately. 

​

We understand things happen, but Harp Strategy are committed to working closely with the Client to mitigate any risk or concerns regarding successful delivery of the SOW, and to agree on a suitable and successful outcome. 

​

We can also arrange unbiased and independent mediation services if warranted. 

Project Management

Each Harp Consultant or resource will manage the fulfilment of the Client Statement of Work (SOW), including Project Management activities and governance. 

​

Harp Strategy utilise Smartsheet to track our Project progress. A read-only version can also be provided to the Client on request and excerpts are included in our weekly status reports.  We will also maintain a internal risk and issue register. 

​​

Please advise of any additional project administration or project management requirements if there is an expectation that Harp Strategy are required to interface with your internal practices. 

Timesheets

Each Consultant will be required to enter their timesheet on a monthly basis via the Harp Strategy Payroll system. 

​

Monthly timesheets are due on the last business day of the month, before Client Invoices are released. 

​

Harp Strategy will email the monthly timesheet to the nominated Client representative to approve for  payment.

 

We kindly ask that Harp timesheets are reviewed and approved in a timely manner, so we can send monthly Invoices and receive payment for the Consultants delivering work to you. 

Invoice Payment Terms 

Our Invoice Payment Terms is up to 14 days (maximum). 

​

We will invoice as soon as the monthly timesheet is approved by the Client. 

And we ideally expect payment to occur immediately, where possible. 

​

Insurances

Harp Strategy hold full Company Insurances via Salt Eagle Pty Ltd, which is the Company we trade under. 

​

This includes Professional Indemnity, Public Liability and Workers Compensation. 

​

Our subcontracted Consultants also carry the same Insurances. 

Proposal Expiry

Our Statement of Work SOW) Proposals will expire in 3 months. 

​

The SOW is based on the Client business requirements at a specific point in time, which we obtained during pre-sales meetings, however particularly for an IT environment, it can be fluid, and is always changing. This is why we prefer to prepare SOW's that reflect the current-state. 

​

If you still require Harp Strategy Consulting assistance, and your Proposal has expired, we are happy to re-confirm business requirements to prepare an updated SOW for you. 

SOW Duration & Schedule

Based on the scope of the Statement of Work (SOW) and the resources allocated to it, the duration to fulfill the project, program or consulting engagement may vary. 

​

Our Statement of Work (SOW) Proposal is flexible to cater for sequential, scheduled, and lapsed time arrangements, aligned to dependencies and Client deadlines.

 

If the Client has a tight deadline, the SOW may warrant one or many resources to successfully deliver on time. 

​

Harp Strategy perform comprehensive SOW Planning in collaboration with our Consultants to ensure we have clarity on what it will take for us to successfully deliver to you. This will be defined within the SOW, for further discussion with the Client, to mutually agree on. ​​​​

​

We also offer on-demand blocks of consulting time, that that the Client can use on an ad-hoc basis within a nominated agreed time-period. 

Travel

Any travel requirements will be included in the agreed SOW. 

​

Travel costs will be quoted in the SOW up to a cap. 

​

For Privacy reasons, we prefer for travel arrangements to be made directly by the Harp Consultant, rather than the Client or Harp Strategy. This provides flexibility for Consultant to choose how they wish to travel, where they prefer to stay, and to book travel to fit in with their personal schedule.  

​

Our Consultants will handle their own travel bookings, such as flights, accomodation, public transport, or car hire, and Harp Strategy will reimburse up to the agreed travel cap.  

​

Travel costs will be included in the monthly invoice to the Client. â€‹

Government Security Clearance

Most of our Consultants already possess their Baseline Security Clearance to work with Federal Government Clients. 

​

On occasion if a Consultant doesn't have their Baseline Security Clearance yet, we will work with the Client to arrange this. 

​

Our Consultants are also happy to partake in Police Checks etc as required. 

​

Should the Client require the Consultant to have a higher level than Baseline Security Clearance, please advise us during pre-sales discussions so we can identify the right Consultant for you. 

Client Account Management

Harp Strategy provide Client Account Management services on all of our Client engagements. 

​

This is very important to us, to oversee delivery, to ensure we have our finger on the pulse, provide support to our Consultants, and most importantly that we are regularly checking in with our Clients to ensure you are happy with the engagement, and to validate it is healthy and on track to be a success. 

 

We also wish to understand your business, what your challenges are, and to identify if there are any other areas we can provide assistance on, or make recommendations. 

​

Establishing a positive and mutually beneficial working relationship with our Clients is key to our ongoing success. 

​

At the end of each Client engagement, we will send you a survey, with a request to provide a testimonial to publish on the Harp Strategy website, if you are happy to contribute. 

Scope Crepe

Scope Crepe is a reality on a lot of Client Consulting engagements, therefore we are skilled to identify when this occurs and when we believe this may change the agreed scope and cost of the original Statement of Work (SOW).  

​

We will advise the Client Sponsor immediately to discuss and negotiate any changes or additions to the SOW. If all parties agree, we will either provide an amendment to the existing SOW, or write a new SOW. 

​

On occasion, there may be a change in scope, but not cost. In this case, we will still create a SOW amendment, to ensure transparency and clarity on any changed deliverables, milestones and schedule. 

​

If the Client decides to not pursue the additional or changed scope, we will continue as per the original SOW. 

Invoicing 

Invoices will be released to the Client, as soon as the monthly timesheet is approved by the Client representative.

Remote, Hybrid & Onsite Expectations

As Consultants we are predominately remote workers, who will visit onsite at intervals throughout a Client engagement for face-to-face facilitation or to deliver presentations, although this may vary based on the individual Client, and SOW.

 

We will work with the Client to agree on an appropriate approach and to schedule our visits when important Stakeholders are available. 

​

If your expectations prefer a more hybrid or onsite arrangement, please advise during pre-sales activities, so we can select the right Consultant for you. ​​​

Mutual Safety

We assist our Clients by leading with example, and will use a supportive human-centred approach, which is at the forefront of all of our Consulting engagements.

 

This is an important Harp Value, which we practice consciously.

Should we be exposed to questionable behaviour on our Consulting engagements, we will raise this with the Client Sponsor immediately, especially if we believe this represents a risk to our deliverables, schedule and progress. 

​

We choose to always remain professional and respectful during our Stakeholder socialisation and facilitation, and expect that the Client also displays those same behaviours to us. 

​

We have a policy of zero tolerance to bullying, misogyny, discrimination and disrespect. If one of our Harp Consultants finds themself in a difficult situation, we will pause the SOW briefly, so that we can meet with the Client to address the situation swiftly, in an effort to get things back on track so we can continue on. 

​

Should the Client experience questionable behaviour from one of our Harp resources, we please urge that you advise the Harp Account Manager immediately, so that we can take necessary measures. ​
